This website is operated by Guangdong Kenly Electrical Appliance Co., Ltd. ("KENLY", "we", "us", or "our"), a professional OEM/ODM rice cooker and small kitchen appliance manufacturer based in Lianjiang City, Guangdong Province, China. By accessing this website or submitting an inquiry, you agree to be bound by these Terms of Service.
Acceptance of Terms
By accessing and using the KENLY website (the "Site"), submitting product inquiries, requesting quotations, or engaging in any business communication with KENLY, you confirm that you have read, understood, and agree to be bound by these Terms of Service ("Terms").
If you are accessing this Site on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.
If you do not agree to these Terms, please discontinue use of this Site immediately.
Website Use
This Site is intended for business-to-business (B2B) users including importers, distributors, wholesalers, private-label brands, sourcing agents, and trading companies. It is not intended for retail consumers.

KENLY reserves the right to accept or decline any inquiry or order at its sole discretion.
Inquiries & Quotations
Submitting an inquiry or requesting a quotation through this Site does not create any obligation on either party. All quotations provided by KENLY are:
- Subject to change without notice until a written order confirmation is issued.
- Based on the specifications and quantities provided at the time of inquiry.
- Valid for the period stated in the quotation document, typically 30 days unless otherwise specified.
KENLY is not responsible for any decisions made by the buyer based on preliminary quotations before a formal contract is executed.
OEM/ODM Services
KENLY provides OEM (Original Equipment Manufacturer) and ODM (Original Design Manufacturer) services for rice cookers and related small kitchen appliances. The following terms apply to all customization and manufacturing engagements:
5.1 Buyer Responsibilities
The buyer is responsible for providing accurate product specifications, target market requirements, applicable certification standards, voltage and plug requirements, packaging artwork, and any other customization details. KENLY will not be liable for non-conformance resulting from incomplete or incorrect information provided by the buyer.
5.2 Samples
Sample approval is required before mass production begins. The buyer must review and confirm samples in writing. Mass production will proceed based on the approved sample specifications. KENLY is not responsible for deviations from unapproved or verbally approved specifications.
5.3 Minimum Order Quantities
Minimum order quantities (MOQ) vary by product model and customization level. MOQ requirements will be specified in the official quotation. KENLY reserves the right to adjust MOQ based on production scheduling and material procurement.
5.4 Certifications
KENLY supports certification processes including CB, CE, GS, KC, UKCA, INMETRO, RoHS, EMC, LVD, and ISO 9001. Certification timelines and costs depend on the target market and product configuration. The buyer is responsible for verifying that the selected certifications meet the requirements of their specific market and distribution channels. KENLY does not guarantee market approval or regulatory acceptance.
5.5 Production & Delivery
Production lead times are estimated and may be affected by raw material availability, order volume, customization complexity, and other factors. KENLY will communicate any significant delays promptly. KENLY is not liable for delays caused by force majeure events, shipping carrier issues, or circumstances beyond its reasonable control.
Intellectual Property
All content on this Site, including but not limited to text, product descriptions, images, logos, graphics, and design elements, is the property of KENLY or its licensors and is protected by applicable intellectual property laws.
For OEM/ODM orders involving buyer-supplied designs, logos, trademarks, or packaging artwork, the buyer represents and warrants that they hold all necessary rights and licenses to use such materials and that their use does not infringe any third-party intellectual property rights. KENLY shall not be held liable for any intellectual property infringement claims arising from buyer-supplied materials.
KENLY retains ownership of all proprietary product designs, tooling, molds, and manufacturing processes developed by KENLY, unless otherwise agreed in writing.
Confidentiality
Both parties acknowledge that during the course of business discussions and cooperation, confidential information may be exchanged, including but not limited to product designs, pricing, business plans, technical specifications, and customer information.
KENLY will treat all buyer-provided confidential information with reasonable care and will not disclose such information to third parties without the buyer's prior written consent, except as required by law.
Where a separate Non-Disclosure Agreement (NDA) is executed between KENLY and the buyer, the terms of that NDA shall govern confidentiality obligations.

Governing Law & Dispute Resolution

Any disputes arising from or in connection with the use of this Site shall first be resolved through good-faith negotiation between the parties. If negotiation fails, disputes shall be submitted to the competent courts or arbitration authority in Guangdong Province, China, unless otherwise agreed in a separate written contract between KENLY and the buyer.
For international transactions, the terms of the signed Sales Contract or Purchase Order shall take precedence over these Terms where there is a conflict.
